Interpretation and Definitions

Effective Date: September 11, 2026

These Terms and Conditions (“Terms”) govern your access to and use of the Blue Hawk Digital website, services, software access, managed systems, artificial intelligence tools, automations, communications services, and related offerings.

Blue Hawk Digital, LLC is referred to in these Terms as “Blue Hawk Digital,” “Blue Hawk,” “we,” “us,” or “our.”

The person or business purchasing, accessing, or using our services is referred to as “Client,” “you,” or “your.”

By accessing our website, purchasing a service, submitting payment, creating an account, or otherwise using our services, you agree to these Terms.

If you are purchasing services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use our services.

1. Our Services

Blue Hawk Digital provides managed digital marketing, lead-response, customer communication, automation, reputation management, CRM, artificial intelligence, and related business services.

Services may include, depending on the package purchased:

  • AI-assisted inbound call handling

  • Voice AI receptionist services

  • Conversation AI

  • SMS and email response workflows

  • Website lead-response systems

  • Customer communication tools

  • Universal inbox functionality

  • CRM and opportunity pipelines

  • Appointment and booking support

  • Automated follow-up workflows

  • Mobile application access

  • Reporting and dashboards

  • Automated review management

  • System configuration, testing, monitoring, and optimization

  • Technical support

  • Other marketing or automation services agreed to in writing

Not every feature listed above is included in every service or package.

The services provided to a Client will be determined by the package purchased, checkout page, proposal, statement of work, order form, or other written agreement between the Client and Blue Hawk Digital.

2. Speed to Lead

Blue Hawk Digital’s Speed to Lead service is a managed lead-response and follow-up system designed to help businesses respond to incoming opportunities, organize customer conversations, support booking and follow-up, and reduce opportunities that may otherwise be missed.

Depending on the Client’s agreed configuration, Speed to Lead may include:

  • Custom-trained Voice AI

  • Conversation AI on agreed channels

  • CRM and sales pipeline

  • Universal inbox

  • Appointment and booking support

  • Email and SMS follow-up automations

  • Mobile application and reporting dashboard

  • Automated Review Management

  • Ongoing system monitoring and optimization

  • Technical support

The exact configuration may vary based on the Client’s business, existing systems, selected integrations, available third-party technology, and agreed scope.

Speed to Lead is a managed service. Blue Hawk Digital configures and manages the agreed system; however, Client participation may still be required for customer callbacks, sales conversations, approvals, appointment fulfillment, service delivery, and other human interactions.

3. Implementation and Setup

The standard Speed to Lead implementation investment is $1,997, unless another amount is stated in a written offer, checkout page, proposal, or order form.

Implementation may include:

  • Business and workflow review

  • Configuration of the agreed system

  • AI training and setup

  • Customer-response and call-flow configuration

  • CRM and pipeline setup

  • Agreed booking or callback workflows

  • Follow-up automation setup

  • Testing

  • Client review

  • Reasonable pre-launch adjustments

  • Launch preparation

Implementation work may begin shortly after enrollment.

Non-Refundable Implementation Fee

Because the implementation fee compensates Blue Hawk Digital for work performed in configuring, training, testing, and preparing the Client’s system, the implementation fee becomes non-refundable once implementation work has begun, except where otherwise required by applicable law.

If the Client cancels after implementation has begun but before go-live, the implementation fee remains non-refundable.

4. Client Review and Approval Before Go-Live

Blue Hawk Digital will make reasonable efforts to allow the Client to review and test material customer-facing portions of the system before launch.

The Client is responsible for reviewing information such as:

  • Business name

  • Services

  • Hours

  • Pricing information supplied to the system

  • Frequently asked questions

  • Call-routing instructions

  • Appointment procedures

  • Escalation instructions

  • Customer-facing responses

  • Other material business information

The Client is responsible for promptly notifying Blue Hawk Digital of material inaccuracies discovered during testing.

Approval of the system for launch constitutes the Client’s authorization to place the agreed system into production.

5. Implementation Timeline

Most Speed to Lead systems are expected to be ready for review and testing within approximately seven business daysafter Blue Hawk Digital has received the information, access, approvals, integrations, and other materials reasonably required to complete setup.

This timing is an estimate and is not a guaranteed completion date.

Delays may occur because of:

  • Delayed Client responses or approvals

  • Missing or inaccurate business information

  • Third-party integration issues

  • Platform outages

  • Telephone carrier issues

  • API restrictions

  • Verification or messaging-registration requirements

  • Technical issues outside Blue Hawk Digital’s reasonable control

  • Requested changes to the original scope

Client-caused or third-party delays do not constitute a failure by Blue Hawk Digital to provide the service.

6. Monthly Speed to Lead Plan

Unless otherwise agreed in writing, the standard Speed to Lead managed service fee is:

$497 per month

Monthly billing begins on the Client’s confirmed Go-Live Date.

After the initial month, monthly service renews automatically on a recurring basis until canceled in accordance with these Terms.

The monthly Speed to Lead plan is month-to-month and does not require a long-term commitment unless a different written agreement expressly states otherwise.

7. Annual Speed to Lead Plan

Blue Hawk Digital may offer an annual Speed to Lead plan for:

$4,970 per year, paid in advance.

The annual offer currently includes two months of service at no additional charge compared with twelve monthly payments and may include the standard implementation service without a separately stated implementation charge.

The annual plan is a prepaid annual service commitment.

Unless otherwise stated in writing or required by law:

  • Annual fees are charged in advance.

  • The annual term begins as stated at checkout or in the applicable order.

  • The annual plan will not be prorated merely because the Client chooses to stop using the service during the prepaid term.

  • Cancellation prevents renewal for a subsequent annual term but does not automatically create a refund for unused time in the current annual term.

  • Annual payments are non-refundable once service and implementation work have begun, except where expressly stated in these Terms or required by law.

Because implementation is included as part of the annual package without a separately stated implementation charge, implementation work is part of the consideration for the annual payment.

8. 30-Day Live-Service Guarantee

For Clients purchasing the standard monthly Speed to Lead plan, Blue Hawk Digital provides a 30-day live-service guarantee.

If the Client determines that Speed to Lead is not the right fit and cancels within the first 30 calendar days following the Go-Live Date, Blue Hawk Digital will refund the Client’s first $497 monthly service payment.

The following are not refundable under this guarantee:

  • The $1,997 implementation fee

  • Additional services

  • Custom work outside the standard package

  • Third-party charges

  • Usage or overage charges specifically disclosed to the Client

  • Other purchases not expressly covered by this guarantee

The guarantee does not create a guarantee of revenue, appointments, leads, sales, or other business results.

Unless expressly stated otherwise in writing, this 30-day monthly-service guarantee does not apply to prepaid annual plans.

9. Automated Review Management

Blue Hawk Digital may provide Automated Review Management as either a standalone service or as part of another package.

The current standalone recurring rate may be advertised at $297 per month, plus any applicable setup fee disclosed at the time of purchase.

When Automated Review Management is included with an active Speed to Lead subscription, there is no additional recurring monthly charge for that included service.

If the Client cancels Speed to Lead, included Automated Review Management will also end unless the Client elects to continue Automated Review Management separately at the then-current standalone rate.

Blue Hawk Digital does not guarantee:

  • A particular number of reviews

  • A particular star rating

  • That every customer will submit a review

  • That a review platform will publish or retain every review

  • Specific search-ranking improvements resulting from reviews

Clients may not use Blue Hawk Digital’s services to create false reviews, purchase deceptive reviews, improperly condition incentives on positive reviews, manipulate review ratings, or otherwise violate applicable law or third-party review-platform policies.

10. Billing Authorization

By purchasing a recurring service, you authorize Blue Hawk Digital and its payment processor to charge the payment method you provide for amounts due under the selected service.

You represent that:

  • You are authorized to use the payment method provided.

  • The payment information supplied is accurate.

  • You will keep billing information current.

If a payment fails, Blue Hawk Digital may retry the payment method and may suspend or restrict services until the account is brought current.

You remain responsible for amounts properly incurred before cancellation or suspension.

11. Price Changes

Blue Hawk Digital may change pricing for future purchases or renewal periods.

Price changes will not retroactively alter charges already paid.

For existing recurring Clients, Blue Hawk Digital will provide reasonable notice before a material change to the recurring price becomes effective.

Promotional, introductory, legacy, negotiated, or partner pricing may differ from prices displayed publicly.

12. Additional Services and Charges

Services outside the Client’s purchased package may require additional payment.

Examples may include:

  • Database reactivation campaigns

  • Custom marketing campaigns

  • Paid advertising

  • Website development

  • Advanced integrations

  • Additional phone numbers or channels

  • Custom automation projects

  • Additional locations

  • Services outside the agreed scope

Blue Hawk Digital will disclose applicable fees before performing separately billable work.

Any third-party usage, overage, or pass-through charges will apply only when disclosed through the Client’s order, account, checkout page, or another written agreement.

13. Client Responsibilities

The Client agrees to provide reasonably requested information and cooperation necessary to deliver the services.

This may include:

  • Accurate business information

  • Services and pricing

  • Business hours

  • Customer FAQs

  • Calendars

  • Appointment rules

  • Phone numbers

  • Email addresses

  • Website access

  • CRM access

  • Social or messaging-channel access

  • Domain access

  • API access

  • Customer escalation instructions

  • Timely approvals

  • Other information reasonably necessary for setup

The Client is responsible for the accuracy and legality of information provided to Blue Hawk Digital.

Blue Hawk Digital is not responsible for delays, errors, or customer-facing inaccuracies caused by incomplete, outdated, misleading, or incorrect information supplied by the Client.

14. Artificial Intelligence and Automated Systems

Certain Blue Hawk Digital services use artificial intelligence, machine learning, automated decision-making, conversational technology, and other automated systems.

The Client acknowledges that AI systems are probabilistic and may occasionally:

  • Misunderstand a caller or message

  • Give an incomplete response

  • Provide an inaccurate response

  • Fail to correctly interpret unusual requests

  • Require intervention by a human

  • Experience delays or technical failures

Blue Hawk Digital will make commercially reasonable efforts to configure AI systems using Client-approved information and instructions but does not warrant that an AI system will respond perfectly to every caller, message, question, or circumstance.

The Client is responsible for approving material customer-facing information before launch and for notifying Blue Hawk Digital of material errors that require correction.

AI services are designed to support Client operations, not replace Client judgment or responsibility.

15. Human Escalation

Some customer interactions may require human judgment, negotiation, verification, technical expertise, emergency response, or other assistance that should not be handled solely by an automated system.

The Client remains responsible for responding to escalated opportunities and situations requiring human involvement.

Blue Hawk Digital is not responsible for lost opportunities resulting from the Client’s failure to respond to notifications, messages, callbacks, appointments, or escalated customer requests.

16. 24/7 Technical Support

Certain Blue Hawk Digital packages include access to 24/7 technical support.

Twenty-four-hour support availability means support may be contacted at any time. It does not guarantee:

  • Immediate resolution of every issue

  • A specific response time unless separately agreed

  • Continuous availability of third-party platforms

  • That every technical issue can be resolved by Blue Hawk Digital

Some technical support may be provided by Blue Hawk Digital’s authorized vendors, platform partners, or support providers.

17. Calls, Recording, Transcription, and AI Disclosure

Blue Hawk Digital services may involve telephone calls, automated communications, call recording, transcription, call analysis, AI-generated responses, or other communication technologies.

The Client is responsible for using these features in compliance with applicable federal, state, local, and industry-specific laws.

This includes responsibility for determining whether applicable law requires:

  • Disclosure that a caller is interacting with AI

  • Notice or consent before recording a call

  • Notice or consent before transcription

  • Consent before sending text messages

  • Consent before sending marketing emails

  • Other disclosures or permissions

Because communications laws vary by location and circumstances, Blue Hawk Digital does not represent that one disclosure or consent practice is appropriate for every Client.

18. SMS, Email, and Marketing Compliance

Clients may not use Blue Hawk Digital services to send unlawful, misleading, deceptive, or unauthorized communications.

The Client is responsible for ensuring that contacts, leads, and customer information supplied to Blue Hawk Digital were collected and may be used for the intended communications in accordance with applicable law.

The Client is responsible for obtaining and maintaining any consents legally required for:

  • Calls

  • Automated calls

  • Text messages

  • Marketing text messages

  • Email

  • Automated follow-up

  • Promotional communications

The Client is also responsible for honoring applicable opt-out, unsubscribe, do-not-call, and consent-revocation requests.

Blue Hawk Digital may suspend messaging or automation services if we reasonably believe Client activity creates legal, regulatory, carrier, deliverability, platform, or reputational risk.

19. Third-Party Platforms and Technology

Blue Hawk Digital relies on third-party technology to deliver portions of its services.

These may include providers of:

  • CRM software

  • Artificial intelligence

  • Telecommunications

  • Phone numbers

  • SMS

  • Email

  • Hosting

  • Payment processing

  • Scheduling

  • Social messaging

  • APIs

  • Analytics

  • Review platforms

  • Other technology infrastructure

Blue Hawk Digital does not control these third parties and cannot guarantee their uninterrupted availability, pricing, functionality, policies, integrations, APIs, or continued support.

A third-party service may experience outages, delays, changes, restrictions, suspensions, or discontinuation.

Blue Hawk Digital is not liable for failures or losses caused by third-party systems outside our reasonable control.

If a third-party change materially affects a Client’s system, Blue Hawk Digital may make reasonable adjustments or recommend alternatives.

20. No Guarantee of Business Results

Blue Hawk Digital does not guarantee any particular business result.

We do not guarantee:

  • Number of leads

  • Number of answered opportunities

  • Appointments

  • Close rates

  • Sales

  • Revenue

  • Profit

  • Search rankings

  • Review volume

  • Review ratings

  • Customer retention

  • Return on investment

Business results depend on factors outside Blue Hawk Digital’s control, including market conditions, Client pricing, Client sales ability, service quality, lead quality, staffing, competition, customer behavior, and Client follow-up.

Testimonials, case studies, statistics, revenue figures, appointment figures, examples, and other Client experiences shown on our website or marketing materials describe historical or individual experiences.

They are not promises or guarantees that another Client will achieve the same or similar results.

21. Client Data

As between Blue Hawk Digital and the Client, the Client retains ownership of business and customer data that the Client lawfully provides to Blue Hawk Digital.

The Client grants Blue Hawk Digital and its authorized service providers the right to access, store, transmit, process, and use Client data as reasonably necessary to provide the purchased services.

The Client represents that it has the lawful right to provide such data and authorize its processing for the intended purposes.

Our handling of personal information is also governed by our Privacy Policy.

22. Intellectual Property

Blue Hawk Digital retains ownership of its pre-existing and underlying intellectual property, including, where applicable:

  • Templates

  • System architecture

  • Automation methods

  • Workflow designs

  • Prompts

  • Processes

  • Training methods

  • Configuration methodologies

  • Documentation

  • Branding

  • Software configurations

  • Proprietary know-how

Unless expressly transferred to the Client in writing, purchasing Blue Hawk Digital services does not transfer ownership of Blue Hawk Digital’s underlying systems, templates, methodologies, or intellectual property.

The Client retains ownership of its pre-existing logos, trademarks, customer information, business content, and other Client-owned materials.

23. Feedback

If you voluntarily provide suggestions, ideas, recommendations, or other feedback concerning our services, you grant Blue Hawk Digital a perpetual, worldwide, royalty-free right to use that feedback to improve or develop our services without obligation to compensate you.

This does not give Blue Hawk Digital ownership of your confidential business data.

24. Confidentiality

Each party may receive non-public business information from the other in connection with the services.

Each party agrees to use reasonable care to protect confidential information and to use such information only as reasonably necessary to perform or receive the services, except where disclosure is required by law or expressly authorized.

Confidential information does not include information that is publicly available through no breach of these Terms, independently developed without use of confidential information, or lawfully received from another source.

25. Acceptable Use

You agree not to use our services:

  • For unlawful purposes

  • To impersonate another person or business deceptively

  • To send unlawful spam

  • To harass or threaten others

  • To intentionally distribute malicious software

  • To engage in fraud

  • To create or distribute deceptive reviews

  • To violate intellectual-property rights

  • To violate telecommunications or messaging laws

  • To violate third-party platform rules in a manner that creates material risk to Blue Hawk Digital

  • To conduct activity that may reasonably harm Blue Hawk Digital’s systems, vendors, reputation, or other Clients

We may suspend or terminate services when we reasonably believe misuse presents significant legal, technical, financial, security, or reputational risk.

26. Accounts and Security

If you receive credentials or account access, you are responsible for maintaining the confidentiality of your usernames, passwords, devices, and access credentials.

You are responsible for activity occurring through your authorized account access.

Notify Blue Hawk Digital promptly if you become aware of unauthorized access or a suspected security incident involving your account.

27. Cancellation of Monthly Service

Monthly Speed to Lead service may be canceled at any time.

Unless the 30-Day Live-Service Guarantee applies, cancellation stops future recurring billing but does not create a refund or credit for a partially used billing period.

The implementation fee remains non-refundable after setup has begun.

Blue Hawk Digital may require reasonable information to verify the account and cancellation request.

28. Cancellation of Annual Service

Cancellation of an annual plan prevents renewal for the next annual term.

Unless otherwise expressly stated or required by law, annual fees already paid are not refundable or prorated after implementation or service has begun.

29. Suspension and Termination by Blue Hawk Digital

Blue Hawk Digital may suspend or terminate services if:

  • Payment is overdue

  • The Client materially breaches these Terms

  • The Client engages in unlawful or abusive use

  • Continued service creates substantial legal or compliance risk

  • Third-party providers prohibit the Client’s activity

  • The Client misuses telecommunications or messaging systems

  • The Client materially interferes with Blue Hawk Digital’s ability to provide the service

Where reasonably practicable, Blue Hawk Digital will attempt to notify the Client and provide an opportunity to cure a correctable breach before permanent termination.

30. Effects of Cancellation or Termination

When service ends:

  • Access to certain Blue Hawk Digital or third-party systems may terminate.

  • AI agents, automations, phone routing, messaging workflows, and other managed services may be disabled.

  • Included Review Management may end.

  • Blue Hawk Digital may cease maintaining Client configurations.

  • Outstanding amounts remain payable.

  • Client data may be retained or deleted according to our Privacy Policy and applicable law.

Clients should export or retrieve information they are entitled to retain before termination where export functionality is available.

31. Payment Disputes and Chargebacks

If you believe a charge is incorrect, please contact Blue Hawk Digital before initiating a chargeback so that we have an opportunity to investigate and resolve the matter.

Initiating a chargeback does not eliminate amounts legitimately owed under these Terms.

Blue Hawk Digital may suspend services while a payment dispute or chargeback is pending.

Nothing in this section limits rights that cannot legally be waived.

32. Disclaimer of Warranties

Except for specific written commitments expressly stated in these Terms, the services are provided “AS IS” and “AS AVAILABLE.”

To the maximum extent permitted by law, Blue Hawk Digital disclaims warranties that are not expressly provided in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free performance.

Blue Hawk Digital does not warrant that:

  • Every call will connect successfully

  • Every message will be delivered

  • Every AI response will be accurate

  • Third-party platforms will remain available

  • Services will operate without interruption

  • Every integration will continue functioning indefinitely

  • The services will produce a specific financial or operational result

33. Limitation of Liability

THIS SECTION SHOULD BE REVIEWED BY YOUR ATTORNEY BEFORE PUBLICATION.

To the fullest extent permitted by applicable law, Blue Hawk Digital and its owners, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, loss of data, or business interruption arising from or related to the services.

To the fullest extent permitted by applicable law, Blue Hawk Digital’s aggregate liability arising out of or relating to the affected service will not exceed the amount the Client actually paid to Blue Hawk Digital for that affected service during the six months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory asserted and even if Blue Hawk Digital has been advised that such damages were possible.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to every Client.

34. Client Indemnification

THIS SECTION SHOULD ALSO BE REVIEWED BY YOUR ATTORNEY.

To the fullest extent permitted by law, the Client agrees to defend, indemnify, and hold harmless Blue Hawk Digital, its owners, employees, contractors, affiliates, and service providers from third-party claims, damages, liabilities, penalties, costs, and reasonable attorneys’ fees arising from or related to:

  • Client-provided content or information

  • Client’s unlawful use of the services

  • Client’s violation of these Terms

  • Client’s violation of applicable communications, privacy, advertising, or consumer-protection laws

  • Client’s failure to obtain legally required consent for calls, recordings, text messages, emails, or marketing communications

  • Client’s customer lists or contact data

  • Client’s products or services

  • False or misleading statements supplied by the Client

  • Client’s infringement of another party’s intellectual-property or privacy rights

This indemnification obligation does not apply to the extent a claim results directly from Blue Hawk Digital’s gross negligence, willful misconduct, or other liability that cannot legally be disclaimed.

35. Force Majeure

Blue Hawk Digital will not be liable for delay or failure caused by circumstances beyond its reasonable control, including:

  • Internet or telecommunications outages

  • Platform outages

  • Cloud-service failures

  • Carrier disruptions

  • Cyberattacks

  • Government actions

  • Natural disasters

  • Labor disruptions

  • War

  • Civil unrest

  • Epidemics

  • Power failures

  • Third-party API changes

  • Other events reasonably beyond Blue Hawk Digital’s control

We will make commercially reasonable efforts to restore affected services when practicable.

36. Links and Third-Party Websites

Our website or services may link to third-party websites, software, or services not controlled by Blue Hawk Digital.

We do not control and are not responsible for the content, policies, security, or practices of independent third parties.

Your use of third-party services may be governed by separate terms and privacy policies.

37. Promotions and Special Offers

Blue Hawk Digital may periodically offer promotions, discounts, trials, bonuses, partner pricing, or limited-time offers.

Promotional terms may differ from these standard Terms.

Where written promotional terms conflict with these Terms regarding the specific promotion, the written promotional terms control for that promotion.

38. Governing Law

These Terms and any dispute arising out of or relating to them will be governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

39. Informal Dispute Resolution

Before filing a lawsuit relating to these Terms or Blue Hawk Digital’s services, the parties agree to make a good-faith effort to resolve the dispute informally.

The complaining party should provide written notice describing:

  • The nature of the dispute

  • Relevant facts

  • The requested resolution

The parties will attempt in good faith to resolve the matter before commencing formal litigation, except where emergency or injunctive relief is reasonably necessary.

40. Venue

Subject to any mandatory law that requires otherwise, disputes that cannot be resolved informally will be brought in a court of competent jurisdiction in the State of Colorado.

Have Colorado counsel review the exact venue language and determine whether you want a more specific county, mandatory arbitration provision, jury-trial waiver, or class-action waiver.

41. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the greatest extent legally permissible, and the remaining provisions will remain in effect.

42. Waiver

Failure by either party to enforce a provision of these Terms does not waive the right to enforce that provision or another provision later.

43. Assignment

The Client may not assign or transfer its rights or obligations under these Terms without Blue Hawk Digital’s prior written consent, except as otherwise required by law.

Blue Hawk Digital may assign these Terms in connection with a merger, acquisition, sale of substantially all assets, corporate reorganization, or transfer of the applicable business.

44. Entire Agreement and Order of Precedence

These Terms, together with the applicable:

  • Checkout page

  • Proposal

  • Statement of work

  • Order form

  • Privacy Policy

  • Written service agreement

constitute the agreement between the Client and Blue Hawk Digital regarding the applicable services.

If a signed statement of work, order form, or other written agreement expressly conflicts with these Terms, the more specific written agreement controls with respect to that conflict.

45. Electronic Communications and Acceptance

You agree that electronic communications, electronic signatures, checkout acceptance, online payments, and electronically accepted agreements may be used in connection with Blue Hawk Digital services.

To the extent permitted by law, electronic acceptance has the same effect as signing a paper agreement.

46. Changes to These Terms

Blue Hawk Digital may update these Terms from time to time.

For material changes affecting active paid services, we will make reasonable efforts to provide advance notice before the change becomes effective.
